Terms of Service

Scope of services

We provide legal operations and coordination services related to company formation and compliance in Costa Rica. We coordinate work with licensed Costa Rican counsel and service providers. We are not a law firm and we do not provide legal, tax, accounting, or investment advice.

Engagement

An engagement is formed and becomes legally binding once we issue a written proposal, order confirmation, or invoice, and we confirm receipt of full payment. Any proposal, order confirmation, or invoice issued by us, together with these Terms of Service and any referenced policies, constitutes the entire agreement for the relevant services. Payment of an invoice constitutes acceptance of the scope, fees, and these Terms of Service and forms a binding contract without the need for a separately signed agreement. Website content and marketing materials are informational only and do not constitute an offer.

Client responsibilities

You must provide accurate and complete information, respond to information requests in a timely manner, and promptly inform us of any changes. You are responsible for compliance with the laws and tax rules of your country of residence and operation.

KYC and AML. Right to refuse

We perform KYC and AML checks for all engagements. We may request identity documents, proof of address, company registers, UBO information, and source of funds details. We may refuse or terminate an engagement at our discretion, including if there is sanctions exposure, illegal activity, unverifiable funds, or a request for anonymity. Costa Rica specifics

Costa Rica requires disclosure of Ultimate Beneficial Owners in the RTBF registry. Nominee options do not provide anonymity. You are responsible for any filings and obligations outside Costa Rica, including tax residency and reporting.

Fees and payments

Fees are as stated in the applicable proposal, order confirmation, or invoice. Payment is due in full and in advance, and work starts only after cleared funds are received. Third-party costs (including government, notary, registry, translation, courier, or legalization fees) are included only if expressly stated; otherwise, they are billed at cost. Any change to scope, urgency, or resubmissions requires written confirmation and may result in additional fees. All bank, card, processing, and currency exchange fees are borne by you. Late or unpaid invoices may result in suspension of work and adjusted delivery timelines. Payment of an invoice confirms your agreement to the fees, scope, and these Terms of Service.

Refunds

Fees for services are non-refundable once ordered and paid, as services involve reserved capacity, immediate preparatory work, and third-party coordination. Where mandatory law requires a refund, any refund will be limited to the unused portion of fees and will exclude completed work, third-party costs, and irrecoverable taxes or charges. Chargebacks are not an agreed method of cancellation or dispute resolution and do not suspend or invalidate this agreement. Please contact us first to resolve any billing concerns. Rejections, delays, or decisions by governments, registries, banks, or other third parties outside our control do not constitute grounds for a refund. Any resubmission or retry is treated as a new engagement unless expressly agreed otherwise in writing.

Deliverables and intellectual property

After full payment you receive a non exclusive and non transferable license to use deliverables for your internal business purposes. Your background IP remains yours. Our templates, know how, and internal tools remain ours. We may reuse general knowledge that is not your confidential information.

Third party providers

We may engage third party providers, including licensed Costa Rican counsel, notaries, translators, couriers, payment and email processors, and software vendors. We are not liable for delays or failures caused by third parties outside our reasonable control. You remain responsible for third party onboarding requirements such as bank or fintech KYC.

Timelines

Any timeline we provide is an estimate and depends on your responsiveness, completeness of documents, authority processing times, and third party schedules. Delays caused by you or by third parties extend delivery dates.

Confidentiality and data protection

We treat your non public information as confidential and use it only for your engagement, except where disclosure is required by law or by a competent authority. We process personal data as a controller under GDPR. See the Privacy Policy for details about purposes, legal bases, retention, and your rights.

Compliance limits and prohibited uses

We do not accept engagements involving sanctioned persons or jurisdictions, illegal activities, anonymous ownership, illegal gambling, weapons, trafficking, or fraud. High risk profiles may require enhanced due diligence. We may immediately suspend services if we identify a breach of this section.

No warranties

Services are provided on an as is and as available basis. We do not warrant specific outcomes, approvals, or timelines from governments, banks, fintechs, or exchanges.

Limitation of liability

To the maximum extent permitted by law, our total aggregate liability for any claims arising out of or related to the services is limited to the fees paid for the specific service that gave rise to the claim. We are not liable for indirect, incidental, special, punitive, or consequential damages, loss of profits, loss of business, or loss of data.

Force majeure

We are not liable for delay or failure caused by events beyond our reasonable control, including government actions, system outages, strikes, natural events, or interruptions in communications or logistics.

Termination

Either party may terminate an engagement for convenience before filing work begins by written notice. If you terminate after work has started, section 7 applies. We may terminate immediately for breach, non payment, or compliance concerns.

Governing law and disputes

These Terms and any non contractual obligations arising out of or in connection with them are governed by the laws of [The Netherlands]. Courts of [Amsterdam, The Netherlands] have exclusive jurisdiction, unless your engagement letter specifies another forum.

Changes to the Terms

We may update these Terms. The version in force on the date you place your order applies to that order. For ongoing services we will notify you of material changes by email or on the website.

Notices

Notices must be sent by email to the contacts listed in your engagement letter or to the addresses below. Notices are deemed received on the next business day after sending.
